1. ACCEPTANCE OF TERMS

You should carefully read the Terms of Use ("TOU") before you use www.boomerswithoutborders.org, which along with the Services and Content included thereon (as those terms are defined in Sections 2 and 5 below), shall collectively be referred to as the "Site". The Site is governed by and subject to the TOU, which may be updated from time to time with or without notice to you. By using the Site, you acknowledge and agree that you have read and agree to be bound by the TOU. If you do not agree with the TOU, then you are not authorized to use the Site. 1. SERVICES

The Site may include, among other things, information and articles about nonprofit and community organizations from around the world and volunteer opportunities offered by them, personal stories by volunteers of recent experiences, information on issues, events, and other relevant resources to support people over age 40 who want to learn about volunteering internationally. All functions, features and services available on or through the Site are collectively referred to as the "Services". You understand and agree that boomerswithoutborders ("BWB") assumes no responsibility for your access to and/or use of the Services. You are responsible for your access to the Services and any costs that may be associated therewith, including without limitation internet access.

1. REGISTRATION REQUIREMENTS

You may be required to register with the Site and establish a password in order to use certain Services.

1. PRIVACY POLICY

Information BWB collects about you is subject to the BWB Privacy Policy. As a condition of using the Site, you agree to the terms of the Privacy Policy, as it may be updated and/or modified from time to time, with or without notice to you. The Privacy Statement is available from the navigation menu by clicking on PRIVACY STATEMENT.

1. SERVICES AND CONTENT

You understand that there are risks in using the Services, which you assume when you use them. Much of the information provided on the Site has been provided by a third party. You understand that BWB assumes no responsibility for any third party information, including screening or reviewing information provided by third parties. All information, data, pictures and other material provided in connection with the Site, whether provided by you, by BWB or by third parties, shall collectively be referred to as "Content".

BWB has the right, but not the obligation, in its sole discretion to refuse, monitor, or remove any Content that is available on the Site at any time and for any reason, without notice or liability to you or any third party. You understand and agree that BWB may archive copies of all information and Content from the Site, and may disclose such information if required to do so by law or in the good faith belief that such disclosure will promote compliance with legal process, enforcement of the TOU, assistance in responding to claims that your Content violates the rights of third parties, protection of the personal safety of any person, or protection of the property rights of BWB or any other person or entity.

Neither BWB nor any of its associates are involved in the relationship between individuals who use the Site and organizations who use volunteers. If you have a dispute with each other, you understand that BWB and its associates are not required to assist you in the dispute. You hereby release BWB and any of its associates from any and all claims, demands, and damages, direct, indirect, actual and consequential, of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with your use of the Site, including without limitation any disputes with others who use the site and/or organizations who use volunteers. You understand that the Site may only be used for lawful purposes and you assume total responsibility and risk for your use of the Site. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all information you access, including the Content that you access through the Site.

1. DISCLAIMER OF WARRANTIES

The Site is provided on an "AS IS" and "AS AVAILABLE" basis. BWB expressly disclaims all warranties of any kind with respect to the Site, whether express or implied, including without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement. BWB does not represent or warrant that the Site and/or the Services and Content thereon will meet your requirements, be complete, correct, timely or accurate, or that the Site will be uninterrupted, secure, or error-free. BWB and its associates shall not be liable, at any time, for the failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of information available on or through the Site.

You understand and acknowledge that your sole and exclusive remedy with respect to your dissatisfaction with the Site is to cease your use of the Site.

The Site may not be appropriate or satisfactory for your use, and you should verify any information and Content before relying on it. You are solely responsible for any decision you make based on information and/or Content available on or through the Site.

1. EXCLUSIONS AND LIMITATION OF LIABILITY

You expressly understand and agree that BWB and its associates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data loss, or other losses (even if BWB and its associates have been advised of the possibility of such damages) resulting from your use of, or inability to use, the Site, including without limitation any Content, information and/or any third party links provided on or through the Site.

1. YOUR CONTENT AND CONDUCT ON THE SITE

You are solely responsible for all Content that you upload, submit, post, email or otherwise transmit using to or from the Site. Similarly, you are responsible for respecting BWB's and third parties' rights with respect to Content that appears on the Site. By submitting, posting, emailing or otherwise transmitting your material and Content to the Site, you hereby grant to BWB a royalty free, perpetual, non-exclusive and irrevocable license to post your Content on the Site and use your material and Content for BWB's business needs as it reasonably determines. With respect to your material and Content, you represent and warrant that (i) you have the necessary rights and/or licenses in the same to grant the foregoing license, and (ii) your material and Content does not and shall not infringe or misappropriate any rights of any third parties.

You agree not to use the Site to do any of the following:

-Submit, upload, post, email or otherwise transmit any Content that is, or may be perceived as, illegal, harmful,, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, pornographic, sexually explicit, invasive of another's privacy, hateful, racially, ethnically, or otherwise offensive.

-Impersonate another person or entity, including without limitation, a representative of BWB or its associates, falsely represent or misrepresent your affiliation with another person or entity, or forge headers or otherwise manipulate identifiers that would disguise the origin of any Content transmitted through the Site or Services.

-Submit, upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, including without limitation, initiation or perpetuation of any "Spam - Junk Mail", or any other potentially objectionable form of unsolicited communication.

-Use the Site or Services for any purpose or in any manner that violates any local, state, or federal law or regulation or the law or regulation of any foreign government.

-Collect or store personal data with respect to third parties except as contemplated in the Terms and Conditions and then only for the express purpose of providing lawful communication that may reasonably be anticipated by such third parties.

-Restrict or inhibit anybody else from using the Site.

-Directly or indirectly, intentionally disrupt or interfere with the Site or Services in any manner that materially adversely affect BWB, its associates, you, or any third party.

-Submit, upload, post, email or otherwise transmit any material that contains software viruses or any other code, files, or programs designed or known to disable, interrupt, or limit the functionality of any computer hardware, computer software, or telecommunications equipment or facilities.

-Submit, upload, post, email or otherwise transmit without authorization any material that contains personal or private information concerning any third party person or entity, including without limitation, phone numbers(s), or addresses, credit/debit cards, calling cards, account numbers, social security numbers, passwords, or other similar information.

-Use any kind of automated tool, including but not limited to scripts, bots and other software to try and collect information from the Site or to break into any of its servers.

BWB reserves the right to block any user who does not adhere to these gui
delines from using the Site. BWB may take this action without prior notice or explanation to the user.

1. NO RESALE OF SERVICES

You agree to use the Site solely to accommodate your own needs and not to offer any Services or Content to any third party. You may not use or exploit any portion of the Site to provide any services to third parties or reproduce and Services or Content available on the Site without the prior written permission of BWB.

1. LINKS

The Site may include links to other World Wide Web sites. You acknowledge and agree that such links are provided for your convenience and do not reflect endorsements by BWB with respect to the provider of such linked site or the quality, reliability or any other characteristic or feature of such linked site. BWB is not responsible in any manner (including without limitation with respect to any loss or injury you suffer) for any matter associated with any linked site, including without limitation, the content provided on or through any such linked site and/or your reliance on it. Your use of any linked site is solely at your own risk and your use of a linked site is subject to the terms and conditions applicable to that site.

1. INDEMNITY

You agree to indemnify, defend and hold harmless BWB and its officers, directors, employees, agents, partners and associates from and against any claims, demands, proceedings, and any losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, arising out of (i) your use or misuse of the Site (ii) any Content you submit, post, transmit or make available on or through the Site, (iii) your violation of the TOU and/or Privacy Policy, and (v) your violation of any rights of another.

1. JURISDICTION AND VENUE

You and BWB agree that this Agreement and your use of the Site is governed exclusively by the laws of the State of Washington, without giving effect to its choice of law rules. Exclusive venue for any action hereunder shall lie in the State and Federal courts located in King County, Washington.

1. TERMINATION OF REGISTRATION

BWB may add to, change, delete or terminate your use of the Site at any time for any reason or no reason with or without notice to you. BWB shall not be liable to you and/or to any third party for any modification, suspension, or discontinuance of the Site.

1. MISCELLANEOUS

The TOU constitutes the entire agreement between you and BWB with respect to your use of the Site. There is no agency, partnership, joint venture or employee-employer relationship between you and BWB. You also may be subject to additional terms and conditions that may apply when you use third party content or services available on or through the Site. If any provision of the TOU is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. The failure of BWB to exercise or enforce any right or provision of the TOU shall not constitute a waiver of such right or condition. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Site and/or this TOU must be filed within one year after such claim or cause of action arose.
